1. Definitions
In these Terms and Conditions:
- "Agreement" means the engagement scope document signed by both parties and these Terms and Conditions together.
- "Services" means the Forecasting System Build, Anomaly Detection for Operations, and Reading Group on Current Methods engagements offered by Damai Logic.
- "We / Us / Our" means Damai Logic, a firm registered in Malaysia, with its principal place of business at 42, Jalan Tasik Selatan, 57000 Kuala Lumpur.
- "Client / You" means the organisation or individual that engages Damai Logic for Services.
- "Deliverable" means any system, document, or programme produced for the Client under an engagement.
- "Scope Document" means the written description of an engagement agreed before work begins.
2. Acceptance of Terms
By engaging Damai Logic for Services or by using this website, you confirm that you have read and understood these Terms and that you have the capacity and authority to enter into a binding agreement on behalf of your organisation. All engagements are subject to these Terms unless a separate written agreement supersedes them.
Users of this website must be at least 18 years of age. Our Services are directed at businesses and their professional representatives, not at individual consumers.
3. Service Description
Damai Logic offers three engagement types, each described in detail at damailogqr.live/solutions.html. Services are available to clients in Malaysia. Engagements outside Peninsular Malaysia may be subject to additional travel arrangements discussed individually.
- Forecasting System Build — MYR 2,090 fixed fee, 8–10 weeks
- Anomaly Detection for Operations — MYR 1,360 fixed fee, 4–6 weeks
- Reading Group on Current Methods — MYR 480 fixed fee, 6 fortnightly sessions
4. Engagement Scope and Changes
Every engagement begins with a written Scope Document agreed by both parties. Work does not begin until the Scope Document is countersigned. If either party wishes to change the scope during an engagement, the change must be agreed in writing before being acted on. Changes to scope may affect the fee and timeline; we will provide a written estimate of any such impact before confirming the change.
5. Client Responsibilities
The Client is responsible for:
- Providing accurate and complete data as described in the Scope Document
- Making appropriate staff available for scoping conversations, handover, and (for the Reading Group) the sessions themselves
- Ensuring that any data provided to Damai Logic is obtained and shared lawfully
- Reviewing and querying deliverables within 14 days of receipt
- Not using deliverables for purposes outside those described in the Scope Document without our written consent
6. Intellectual Property
Deliverables
On receipt of full payment, the Client receives a non-exclusive licence to use the Deliverables for internal operational purposes as described in the Scope Document. Title in the underlying methodologies, code frameworks, and training materials remains with Damai Logic.
Client Data
All client data used in an engagement remains the property of the Client. We do not retain client data beyond the engagement (except as required by law) and do not use it for any other purpose.
Reading Group Materials
Pre-reading materials provided for the Reading Group are licensed for use by session participants only. They may not be distributed, reproduced, or published without our written permission.
7. Payment Terms
Fees are quoted and invoiced in Malaysian Ringgit (MYR). For build engagements, 50% of the fee is payable before work begins; the remaining 50% is payable on delivery of the final Deliverable. For the Reading Group, the full fee is payable before the first session. Payment is due within 14 days of invoice date. Overdue amounts accrue interest at 1.5% per month from the due date.
Cloud infrastructure or compute costs incurred during an engagement are estimated and agreed in the Scope Document and invoiced separately at cost. There are no success fees or variable charges beyond the fixed engagement fee and any agreed infrastructure costs.
8. Refunds and Cancellation
If a Client cancels before work begins, the initial 50% payment for build engagements (or full payment for the Reading Group) is non-refundable, as it covers scoping and preparation work already completed. If we are unable to deliver the engagement as scoped and agreed, we will refund amounts paid in proportion to the work not completed. No refund applies where the engagement cannot proceed due to the Client's failure to provide required data or access.
9. Disclaimers
Deliverables are provided on the basis of the data and requirements supplied by the Client. We make no representation that any Deliverable will produce specific business outcomes. Forecasts include uncertainty intervals specifically because future outcomes cannot be predicted with certainty; the uncertainty interval is part of the deliverable, not a limitation of it. Anomaly detection systems have a stated false-positive rate; readings outside that rate may occur.
Nothing in these Terms constitutes legal, financial, or regulatory advice. Clients should seek independent professional advice where required.
10. Limitation of Liability
To the extent permitted by Malaysian law, our total liability to the Client in connection with an engagement is limited to the fee paid for that engagement. We are not liable for any indirect, consequential, or incidental loss arising from the use of a Deliverable, including but not limited to loss of profit, loss of revenue, or business interruption.
Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
11. Indemnification
The Client agrees to indemnify Damai Logic against any claims, losses, or expenses arising from the Client's breach of these Terms, the Client's provision of unlawfully obtained data, or the Client's use of Deliverables outside the scope of the licence granted.
12. Termination
Either party may terminate an engagement on 14 days' written notice. On termination, fees are payable in proportion to the work completed. If the Client terminates after delivery of a Deliverable has begun, the full engagement fee is payable. Clauses relating to intellectual property, limitation of liability, and confidentiality survive termination.
13. Confidentiality
Both parties agree to treat as confidential all non-public information received from the other in connection with an engagement, and not to disclose it to third parties without the other party's written consent, except as required by law. This obligation survives the end of the engagement for a period of three years.
14. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt to resolve it informally through direct discussion. If the dispute is not resolved within 30 days, either party may refer it to mediation through the Malaysian Mediation Centre before commencing court proceedings. The courts of Kuala Lumpur have exclusive jurisdiction over disputes that cannot be resolved through mediation.
15. General Provisions
- Entire Agreement — These Terms, together with the Scope Document, constitute the entire agreement between the parties for the relevant engagement.
- Severability — If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver — Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
- Assignment — The Client may not assign its rights under these Terms without our written consent. We may assign our rights to a successor entity.
- Notices — Notices under these Terms must be in writing and sent by email to the address specified in the Scope Document, or for legal notices, by registered post to the principal addresses of each party.
16. Changes to These Terms
We may update these Terms from time to time. The version in force at the time an engagement begins applies to that engagement. Updated Terms take effect for new engagements from the date they are published on this website. We will note the Last Updated date at the top of this page whenever changes are made.
